The Constitution of The Scorpion Booster Club
Article I. NAME
The name of this organization shall be The Scorpion Booster Club (the “Club”).
Article II. PURPOSE AND FUNCTION
It is the purpose of the Scorpion Booster Club to support faculty and students, and to advance the co-curricular and extra-curricular programs of the Sedona Red Rock High School and Junior High School. The Club provides financial and moral support as needed, without profit to individual club officers, directors or members.
Article III. MEMBERSHIP
Membership shall be open to any person whose dues are current and subscribes to the purpose and function of the Scorpion Booster Club, regardless of race, color, religion, sex, national origin, age, disability or genetic information.
Article IV. BOARD OF DIRECTORS
Section I. The affairs of the club shall be managed by a minimum of 7 and a maximum of 15 Board of Directors who shall comply with the Constitution and By-Laws of the Scorpion Booster Club.
Section II. No member of the Board of Directors not holding office shall serve more than six (6) consecutive years, including the fulfillment of an un-expired term of a previous board member.
Article V. OFFICERS
Section I. The officers of the club shall be adult members and shall consist of the President, a Vice-President, Secretary, and Treasurer.
Section II. An officer can’t hold the same office over four consecutive years, or any combination of offices over four consecutive years. A partial year fulfilling the unexpired term of a previous officer doesn’t count toward either limit if it is under half a year and precedes election to a full term. Exceptions to Article V Section II may be made with a two-thirds 2/3 approval of Officer and Board of Directors vote.
Article VI. MEETINGS
Section I. A minimum of nine (9) regularly scheduled meetings will be held annually. The annual meeting will be held prior to the end of the fiscal year.
Section II. Meetings other than the regularly scheduled meetings will be conducted upon call of the President or any three (3) members of the Board of Directors.
Article VII. FINANCES
The Club approves a budget for the following year during the annual meeting.
Article VIII. AMMENDMENTS
These Articles of the Constitution may be amended at any meeting of the membership by a two-thirds (2/3) affirmative vote of the Officers and Board of Directors.
Article IX. PARLIAMENTARY AUTHORITY
Robert’s Rules of Order shall be the authority on all questions of procedure not specifically stated in the By-Laws.
